These Terms of Service govern the provision of copywriting and content services by CodeBrightFlow ("we," "us," or "our"), registered at Rua da Poça da Gafa 158, 4990-696 Refóios do Lima, Portugal. By engaging our services, you ("the Client") agree to these terms.
1. Scope of Services
CodeBrightFlow provides copywriting, content strategy, brand narrative development, and related creative services as described in individual project proposals or service descriptions on our website. The specific scope, deliverables, and timelines for each project will be agreed upon in writing before work begins.
2. Project Process & Deliverables
Projects follow a structured process: discovery briefing, initial drafts, client review rounds (typically two rounds of revisions included), final delivery, and file handover. Additional revision rounds beyond those included in the agreed scope will be billed at an hourly rate agreed upon in advance.
3. Payment Terms
Payments are structured on a milestone basis: 50% upfront upon project commencement, and 50% upon final delivery. Invoices are payable within 14 days of issue. Late payments incur a 1.5% monthly interest charge. All prices are quoted in EUR unless otherwise stated.
4. Intellectual Property
Upon receipt of full payment, all intellectual property rights for the delivered work transfer to the Client. CodeBrightFlow retains the right to display work in portfolio and case studies unless the Client objects in writing prior to project completion.
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of the project. CodeBrightFlow will not disclose Client business strategies, data, or unreleased content to any third party without written consent.
6. Limitation of Liability
CodeBrightFlow's total liability under any project shall not exceed the total fees paid for that specific project. We are not liable for indirect, consequential, or incidental damages arising from the use of delivered copy or content.
7. Termination
Either party may terminate the agreement with 7 days written notice. Upon termination, the Client is responsible for payment of all work completed up to the termination date. Work-in-progress deliverables will be provided upon settlement of outstanding invoices.
8. Governing Law
These terms are governed by Portuguese law. Any disputes shall be resolved through mediation first, and if unresolved, through the competent courts of Braga, Portugal.
Refund Policy

1. Pre-Project Cancellation
If you cancel a project before any work has commenced, you are entitled to a full refund of any advance payment within 5 business days. Cancellation must be communicated in writing via email to [email protected].
2. Mid-Project Cancellation
If you cancel a project after work has begun, you will be billed for the percentage of work completed based on the project milestones. A partial refund of the advance payment will be issued for any undelivered work, calculated proportionally.
3. Delivered Work Dissatisfaction
If you are unsatisfied with the final deliverables, please notify us within 7 days of delivery with specific feedback on what does not meet your expectations. We will provide up to two additional revision rounds at no extra charge. If after revisions the work still does not meet the agreed-upon scope, a partial refund of up to 50% of the project fee may be issued at our discretion.
4. Non-Refundable Items
Completed and approved milestone work is non-refundable. Rush delivery fees and third-party costs (e.g., stock imagery, specialized research) incurred on your behalf are non-refundable.

Approved refunds are processed within 10 business days to the original payment method. You will receive email confirmation once the refund has been initiated.
6. Dispute Resolution
If a refund request is disputed, both parties agree to attempt resolution through good-faith negotiation before pursuing any formal dispute proceedings under Portuguese law.
